‘Account’ means collectively the personal information and payment information submitted by you to access the Services and/or the Tutoring Services or online education-related Services.
‘Credit’ means the monies paid by each Student through the Site to allow him or her to access the Services
'Content' means any text, images, video, audio, or other multimedia content, software, or other information or material submitted to or on the Site.
‘Intellectual Property’ means all intellectual property rights whether registered or not including without limitation all copyright, domain rights, design rights, database rights, trademarks, trade secrets, patents, and patentable processes.
‘Lesson’ means the period during which the Tutor or life long learner provides Tutoring Services to the Student or life long learner.
“Member” means any person interacting with the Site and excludes persons who merely visit the Site and leave.
‘Services’ means the Services or information provided by us through the Site, but NOT the Tutoring Services, for which each Teacher or life long learner alone is individually responsible. We are providing an online educational platform and creating a medium between students, institutes, and teachers or students, institutes, and lifelong learners or teachers, institutes, and lifelong learners through question and answer.
‘Service Fee’ means that portion of the Credit payable to us for providing the Services.
‘Membership’ means monthly charges for different types of plans to get access to advanced features.
‘Student’ means any person (to include their parent or legal guardian, if applicable) using the Site for the purpose of availing of the learning Services.
‘Lifelong learner’ means any person using this site for the purpose of learning and teach other members
‘Teaching Services’ means the Services provided by each Teacher to each Student through the Site and Student discussions with each other and sharing of their notes, documents, files, messages, discussion, cards and help to each other;
‘Teaching Services Fee’ means the fee payable by the Student for the online one to one or group class Lesson, calculated on the basis of our hourly or monthly rate and other Services such as message board and discussion board according to our membership pricing section.
“Wallet” means a credit available to the member in their member account on the Site.

3. Membership Eligibility
The Services are available only to, and may only be used by, individuals who are 21 years and older who can form legally binding contracts under applicable law. You represent and warrant that you are at least 21 years old and that all registration information you submit is accurate and truthful. QAfloor may, in its sole discretion, refuse to offer access to or use of the Site to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Site is revoked in such jurisdictions.
Individuals under the age of 21 must at all times use QAfloor's Services only in conjunction with and under the supervision of a parent or legal guardian who is at least 21 years of age. In all cases, Members must be at least 21 years, the adult is the Member, and is responsible for any and all activities.
You agree to comply with all local laws regarding online conduct and acceptable content. The Member is responsible for all applicable taxes. In addition, you must abide by QA floor's policies as stated in the Agreement and the QA floor’s policy documents listed below (if applicable to your activities on or use of the Site) as well as all other operating rules, policies, and procedures that may be published from time to time on the Site by QA floor, each of which is incorporated herein by reference and each of which may be updated by QAfloor from time to time.
In addition, some Services offered through the Site may be subject to additional terms and conditions promulgated by QAfloor from time to time; your use of such Services is subject to those additional terms and conditions, which are incorporated into this Agreement by this reference.
Keep the password you select secure. You are fully responsible for all activity, liability, and damage resulting from your failure to maintain password confidentiality. You agree to immediately notify the QAfloor of any unauthorized use of the password you select or any breach of security. You also agree that QA floor cannot and will not be liable for any loss or damage arising from your failure to keep the password secure. You agree not to provide the Member name and password information in combination to any other party other than QAfloor without QAfloor's express written permission.
You must keep your account information up-to-date and accurate at all times, including a valid email address. To offer items on QAfloor you must provide and maintain valid payment information such as valid payment information, credit card information, or valid PayPal account necessary details.
QA floor accounts are not transferable by sale, gift, or otherwise to another party. If your account is registered as a Teacher, you personally guarantee that you have the authority to bind the entity to this Agreement.
QAfloor's Services may not available to temporarily or indefinitely suspended QA floor accounts. QA floor reserves the right, in QAfloor's sole discretion, to cancel unconfirmed or inactive accounts. QA floor reserves the right to refuse service to anyone, for any reason, at any time. QA floor has a right to decide which account activate or inactive in this Site.
4 Payment process
QA floor charges fees based on the membership plan. We charge a certain percentage of earned by message board, teamwork, and study group related Services. QA floor charges depend on membership and these three services (message board, teamwork, and study group) charge by members. Members fee according to their experience, qualification, in which subject teaching and feedback earn by Students accordingly teaching fees that members earn. QA floor may, at QA floor's sole discretion, change some or all of QA floor's Services at any time. In the event QA floor introduces a new service, the fees for that service will be clearly posted and are effective at the launch of the service. Unless otherwise stated, all fees are quoted in US Dollars (USD).
Membership fees calculated on the monthly payment plan. The amount due is calculated on a monthly basis. If there are insufficient funds in a member account, then service will be paused. Members need to pay for membership charge in advance. The minimum sum to open or top-up an account is $10.00. Payment can only be made by credit card, or debit card or PayPal. We shall collect pre-payments from members and the minimum payment is $10. Members can top-up in their account maximum amount not more than $2000 per transaction and during 1 hour Student can do a maximum number of 4 transactions and in a day 10 transactions per Member. Following the conclusion of a charges earn from (online teaching, message board, and study group) we shall deduct the amount chargeable in respect of the Lesson from the Student’s account. We will then transfer to the relevant Member’s account a certain percentage of this charge and provide another member with a statement illustrating this.
Following the completion of the Lesson, we shall pay the Teacher on (or soon after) the fifth working day of the following month. We shall transfer payment to his/her Tutor payment account, so long as their balance exceeds $100. We will not issue a cheque nor will we make payment in cash. A Student’s account will expire if unused for twelve months. After this time any funds in the account will expire. If a student wishes to cancel their account they may do so by written notice to us at any time. We will cancel the account within a week of such notice. Within 21 days of receipt of such a notice of cancellation, we shall refund to the fund's source the unused balance of the account, less an administration fee of $25.
Being purely a marketplace for enabling Students, lifelong learner, institutes, and Teachers to connect with each other, we do not warrant that we have verified the credentials or certifications of any Teacher. It is for each Student to satisfy him/herself on this point, to avoid engaging with a person purporting to have the required professional qualifications and experience, who does not, in fact, have them. To the extent required in each case, each Teacher takes full responsibility to obtain his/her own license and/or professional accreditation which qualifies him/her to provide the Teaching Services.
For the avoidance of doubt, we charge the Teacher the Services Fee, which is a commission fee of the Teaching Services Fee that the Teachers earn, which Service Fee will be deducted automatically from the Teaching Services Fee as it is deducted from the Credit with the remainder of the Teaching Services Fee then being credited to the Teacher's Account and paid to the Teacher at the end of every calendar month. We reserve the right to amend the Services Fee at our sole discretion. We may, at our sole discretion, change some or all of our Services at any time. In the event that we introduce a new service, the fees for that service will be clearly posted and are effective at the launch of the service.
You as a Teacher can make an immediate withdrawal request (rather than waiting until the end of the calendar month for payment) if your Account has a balance of greater than 100 USD so long a minimum of USD 100 is maintained in the account. We will process the withdrawal request for payment within 7 business days from the time we receive a request depending on the payout method preferred, subject to payment terms of our payment partners.
Other than as a Fujairah-based service provider, there is no business relationship between us and you. You accept that you are each an independent person and not our partner, principal-agent, employer, or employee, nor are you in any other relationship of trust with us. Teachers, institutes, and Students are individually responsible for paying all fees and applicable taxes associated with using this Site. Each of you fully agrees to indemnify, hold harmless and defend us against such liability and we have the right (but not the obligation) to deduct any tax from your Account at any time. If in any jurisdiction tax is due on the Services Fee, you, the Student, agree to increase the Credit and/or you, the Tutor agrees to reduce the Tutoring Services Fee to ensure that we receive the Services Fee net of all tax.
5 Teaching Session Refunds policy (Cash withdraw policy)
In being granted access to the Services and the Teaching Services, you expressly acknowledge that you waive any statutory right to cancel your contract with us.
Once an Account has been opened and you, as a Student or life long learner (member), have purchased Credit, you may interact with the Tutor to agree to the scope of the Lesson. You may cancel your Account at any time after subscribing, however, no refunds for Credit or PayPal purchased can be provided, regardless of whether on grounds of quality or otherwise. If you subscribe in error you must inform us within 7 calendar days of subscribing and must not use the Services during that time.
You, as a Tutor, work with us on a fixed rate of Study group, teamwork, and message board rate, which you may change as you see fit, but not once a Lesson has commenced. Each student is charged with the Teachi Services Fee according to the membership payment plan. In some classrooms, teamwork and message board required a certain price or points to enroll in. Once the member joined any paid Study group, teamwork and message board will automatically deduct the charges from the Credit.
You (whether Tutor or Student) can end the Lesson at any given time by disconnecting, but no refund will be payable to the Student for the abandoned Lesson. We are not responsible for the quality or content of any Lesson whether message board (to ask a question) or classroom and teamwork (Students discuss with each other or with Tutor(s)) and make no representation or warranty of any kind as to the standard or quality of the Tutoring Services provided.
If a student feels that they did not get help, they have 48 hours from the completion of Services delivered to log a dispute and initiate an apply for transfer Lesson or service to other Tutor. Within 48 hours of a request, the QA floor will review and declare judgment on the transfer Lesson request if the Teacher has the fault. It a transfer Lesson is granted, the QA floor will issue an email to the Student for transfer Lesson service and debit the Tutor’s account if needed for the amount of the Lesson (i.e. the dispute Tutor will not be paid for the Services). The student who uses the Tutor transfer Service privilege multiple times may be subject to review, which can result in the suspension of account privileges and/or termination of your account, at Message Tutor’s sole discretion.
Students are entitled to funds being returned to their account if a Tutor has defrauded them. At the end of a tutoring session, the Student will have the option to file a complaint if they are dissatisfied with a tutoring session. The Student must inform immediately following the session as the sessions are recorded and stored for 2 hours. The review team at Message Tutor will watch the session and make a ruling. If we find the Tutor did not perform the tasks requested or abandoned the session, the payment will be refunded back to the account. If we find the Tutor performed the tasks as requested, we will release the funds to the Tutor and place the Student’s account on suspension for one week.
6 Ownership, use, and intellectual property rights
The Site, the Content, and all Intellectual Property relating thereto are owned by us, or our licensors or both (as applicable). We (and our licensors, where applicable) reserve all of our (and their) rights in any Intellectual Property in connection with the Terms. This means, for example, that we (and they) remain owners of them and free to use them as we (and they) see fit.
Nothing in the Terms grants you any legal rights in the Site other than as necessary to enable you to access the Site. You agree not to adjust, try to circumvent or delete any notices contained on the Site (including any Intellectual Property notices) and in particular in any digital rights or other security technology embedded or contained within the Site
QA floor and the QA floor logo are our trademarks and service marks. We may apply for further trademarks related to QA floor products and Services. All registered marks, all pending applications, and all future trademarks remain and shall become the property of the QA floor and you agree not to contest any of the same or to seek to establish any marks confusingly similar to ours. Other trademarks and trade names may also be used on this Site. The use of any trademarks on the Site is strictly prohibited unless you have our prior written permission.
7 Prohibited, Questionable and Infringing Items and Activities
You are solely responsible for your conduct, activities, and any and the Content that you share, submit, post, and display on the QA floor.
QA floor considers any unsolicited suggestions, ideas, proposals or other material submitted to it by Members via the Site or otherwise (collectively, the "Material") to be non-confidential and non-proprietary, and QA floor shall not be liable for the disclosure or use of such Material. If at QA floor's request, any member sends Material to improve this Site (for example through the classroom, message board, teamwork or to customer support), QA floor will also consider that Material to be non-confidential and non-proprietary and QA floor will not be liable for use or disclosure of the Material. Any communication by you to the QA floor is subject to this Agreement. You hereby grant and agree to grant QA floor, under all of your rights in the Material, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sub-licensable and transferable right and license to incorporate, use, publish and exploit such Material for any purpose whatsoever, commercial or otherwise, including but not limited to incorporating it in the API, documentation, or any product or service, without compensation or accounting to you and without further recourse by you, provided the material does not include any personally identifying information of the Member.
By posting Content on the QA floor, it is possible for an outside Site or a third party to re-post that Content. You agree to hold the QA floor harmless for any dispute concerning this use. If you choose to display your own QA floor-hosted image on another Site, the image must provide a link back to its listing page on the QA floor.
9 Your Warranties
Each of the Student hereby warrants that:
he/she will not provide any User with any information that could allow him/her to be personally identified including, but not limited to, phone number, e-mail address, home address, postal address, or website address;
He/she is responsible for assessing the suitability of a Tutor based on their profile;
His/her behavior will not be disruptive, offensive, abusive, unlawful, harassing, defamatory, threatening, harmful, obscene, profane, sexually-oriented, racially offensive or otherwise objectionable in any respect; and
He/she is not less than 21 years of age. Students of less than 21 years of age can only participate with the involvement of a parent or guardian.
10 Information Control
QA floor does not control the content provided by Members that are made available on the QA floor. You may find some content to be offensive, harmful, inaccurate, or deceptive. There are also risks of dealing with people acting under false pretense. By using the QA floor, you agree to accept such risks and that the QA floor (and QA floor's officers, directors, agents, subsidiaries, joint ventures, partners, and employees) is not responsible for any and all acts or omissions of Members on QA floor. Please use caution, common sense, and practice safe buying and selling or join or create groups when using the QA floor.
QA floor is not responsible for the availability of outside websites or resources linked to or referenced on the Site. QA floor does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. You agree that QA floor shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or resources.
11 Accuracy of information and availability of the Site
While we try to make sure that the Site is accurate, up-to-date, and free from bugs, we cannot promise that it will always be so. Furthermore, we cannot promise that the Site will be fit or suitable for any purpose. Any reliance that you may place on the information on this Site is at your own risk.
We may suspend or terminate the operation of the Site at any time as we see fit.
Any Content is provided for your general information purposes only and to inform you about us and our products and news, features, services, and other sites that may be of interest. It does not constitute technical, financial, or legal advice or any other type of advice and should not be relied on for any purposes.
While we try to make sure that the Site is available for your use, we do not promise that the Site is available at all times nor do we promise the uninterrupted use by you of the Site.
12 Submitting information to the Site
While we try to make sure that the Site is secure, we cannot guarantee the security of any information that you supply to us and therefore we cannot guarantee that it will be kept confidential. For that reason, you should not let us have any patentable ideas or patent applications, advertising or marketing suggestions, prototypes, or any other information that you regard as confidential, commercially sensitive, or valuable ( Unwanted Submissions). While we value your feedback, you agree not to submit any Unwanted Submissions. You alone accept full responsibility for any use of Unwanted Submissions, by any person(s) other than yourself.
We may use any Unwanted Submissions as we see reasonably fit on a free-of-charge basis (bear in mind that we have no way of knowing whether such information is confidential, commercially sensitive, or valuable because we do not monitor the Site to check for these matters). Therefore, we will not be legally responsible for keeping any Unwanted Submissions confidential nor will we be legally responsible to you or anybody else for any use of such Unwanted Submissions
We keep Account information on file. Tutors may be given access to a report on fees earned by them.
13 Interacting with QA floor member (Meetings)
Members are solely responsible for interactions with others. QA floor is not involved with user-generated groups, the groups' requirements, or the meetings.
QA floor does not supervise or control any Member meetings, Member-initiated online or offline gatherings, or interactions among and between Members and other persons or companies. Members are solely responsible for interactions with others. Members understand that the QA floor does not in any way screen its Members. All Members are strongly urged to exercise caution and use good judgment in all interactions with others, particularly if meeting offline or in person.
Feedback is a way to establish a reputation of trust for Students, Tutors, and the QA floor marketplace. For every tutoring session, the student has the opportunity to submit a 5-star rating (which equivalent to 3 points) and an optional comment. Consistency, fairness, and honesty are critical to the integrity of the feedback system. Feedback directly affects a Member's reputation, so we ask that Members take it seriously. Please consider the following:
• Positive- 4-5 star rated feedback (including the optional comment) cannot be edited or removed after submission except in the circumstances noted in QA floor's Feedback policies;
• Negative (1 or 2 stars) - or neutral (3 stars) rated feedback may be changed to a positive rating when both parties agree; and
• Feedback ratings, comments, or images removed by the QA floor cannot be reinstated or resubmitted. Members may ask the QA floor to review feedback for removal. Contact Support to request a feedback review. At the QA floor's sole discretion and without notice to both parties involved, feedback may be removed or altered by the QA floor.
Circumstances where feedback may be removed or altered include but are limited to:
• The Member who submitted a negative or neutral feedback rating requests removal;
• Personally identifying or private information was published (for example a phone number, real name, email address, physical address, the content of a private QA floor Conversation, and details regarding a QA floor investigation);
• Feedback contains profane or racist language and/or images;
• Feedback contains spam, links, scripts or advertising;
• Shilling is evident (fraudulent inflation of feedback rating by use of an alternate account);
• Feedback is given for a transaction created for the sole purpose of leaving feedback;
• Negative or neutral feedback was mistakenly submitted for a different transaction;
• Negative or neutral feedback refers to an unrelated transaction;
• Negative or neutral feedback comments about using QA floor or other Services;
• A member is confused about how to use the Feedback system, resulting in unintended negative or neutral feedback; and
• QA floor is provided with a valid court order requesting the removal of feedback.
QA floor provides a messaging system as a way to communicate privately with other QA floor Members. Think of it like email just for the QA floor. Messaging is used to communicate about tutoring or to build friendly relationships with other Members. Please use common sense when giving out personal information to others.
• You must not use messaging to send unsolicited advertising or promotions, requests for donations or "spam;"
• You must not knowingly harass or abuse another Member;
• If someone explicitly tells you not to contact him or her, you must not contact him or her again; and
• Sending too many messages too quickly may auto-disable your messaging. You must contact us to have your ability to send messages reinstated.
All registered members are part of our community. QAfloor has established multiple ways for Members to interact with one another on this Site. Please remember that these are public spaces, so use common sense when sharing personal information. QAfloor's role is to facilitate open discussion and support our community through constructive communication. We have some general rules for community conduct, and some spaces have additional rules. Please consider the following:
• Treat one another with respect. There is a real person behind each name;
• If your account involves a person under the age of 21, you may not utilize the community features on the QA floor unless otherwise specified by the QA floor. (When using the QA floor, those under 21 must, at all times, must have the permission and supervision of a parent or legal guardian who is at least 21 years of age.);
• Knowingly harassing, insulting or abusing other Members is unacceptable;
• The community spaces are not the appropriate channel to express disputes with others;
• Discussing a specific member in a negative way is not allowed; and
• Do not publicly post another person's private information without their explicit consent (for example email, conversations, letters, phone numbers, addresses, full names, or business transactions).
Violating community policies may result in the suspension of community or other privileges and/or account termination.
21 Teamwork and Study group
The QA floor teamwork and Study group are places to interact with a broad range of QA floor community Members worldwide. In our teamwork and Study group, you can read announcements, share questions and answers, and have discussions on various topics of interest. Please consider the following:
• When using the teamwork and Study group, follow the general rules for QA floor community conduct;
• Solicitation for direct donations or other fund-raising is not allowed in the QA floor;
• QA floor does not allow spam in the Teamwork and Study group; for this reason, unsolicited promotion or advertisement from representatives or affiliates of outside Services, Sites or other products is not allowed;
• Keep your posts on-topic. Do not derail a constructive discussion thread;
• Start threads in the appropriate section of the Forums; and
• Consider carefully what information you post in the Study group and teamwork. In general, the Teamwork and Study group serve as a permanent record. In certain circumstances, at the QA floor's sole discretion, the QA floor may remove content from the Study group and teamwork.
QA floor reserves the right to close any teamwork and classroom thread for any reason. Threads may be moved to a more appropriate section without notice. Violating community policies may result in the suspension of community or other privileges and/or account termination.
QA floor groups enable Members to gather together and are founded on relationships of mutual respect. Groups may form around a common interest, location, or skill. Groups are intended to facilitate relationships between members to network, promote tutoring and mentoring, meet people with similar interests or skills, and accomplish common goals. Any Member of the QA floor (over the age of 21) may start a group, and each group may be set-up as an open group or invitation-only group.
Please consider the following:
• A group must have at least one group leader;
• Please use common sense when giving out personal information and meeting people online or offline;
• A group may not be used to demonstrate or discuss disputes with others or with QA floor;
• Knowingly harassing, insulting or abusing other Members or QA floor staff is unacceptable behavior within QA floor groups;
• A group may not use mature, profane or racist language or images in the group's name, banner or logo;
• A group must not promote or glorify hatred, racial or religious intolerance, violence or instruct others to engage in illegal activity;
• A group may not be used for the sole purpose of redirecting traffic to another web location. QA floor reserves the right to refuse links on any profile page or team page for any reason. Unsolicited promotion or advertisement from representatives or affiliates of outside Services, Sites or other products is not allowed;
• Do not use the term "QA floor," other QA floor Trademarks or similar marks in a manner likely to cause confusion;
• QA floor staff does not monitor third-party forums (for example Yahoo or Google groups) or other independent teams sites (for example a team's blog or Site); and
